Terms of Service

Last updated: [date] · Version [1.0]

These terms are a contract between [Future Apps LTD] ("moversapp", "we", "us") and the business that subscribes to the service ("you", "the Customer"). They are written for business customers. By creating an account or using moversapp, you agree to them. Please read section 6 (AI output) and section 13 (Liability) carefully — they limit our responsibility.

1. These terms

moversapp is a product of [Future Apps LTD], registered in England and Wales, company number [number], registered office [address]. These terms, together with our Privacy Policy and any Data Processing Agreement, form the whole agreement between us. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

2. Definitions

  • Service — the moversapp application and website.
  • Customer Data — data you or your team put into, or generate through, the Service, including your customers' enquiry and job data.
  • Output — content the Service generates using AI, including drafted replies, classifications and quote figures.
  • Subscription — your chosen plan and its fees.

3. The service & your licence

We grant you a non-exclusive, non-transferable right to use the Service for your removals business for as long as your Subscription is active and you keep to these terms. We may improve, change or remove features from time to time. We will give reasonable notice of any material reduction in core functionality.

4. Accounts

You are responsible for your account, your team members' accounts, and keeping login details secure. You must give accurate information and tell us promptly of any unauthorised use. You are responsible for everything done under your account, including messages sent from it.

5. Free trial, fees & billing

New subscribers get a 30-day free trial. You provide a payment method at sign-up, but we do not charge during the trial. At the end of the trial your chosen plan begins automatically and the fee is charged, unless you cancel before it ends.

Fees are billed [monthly] in advance and are non-refundable except where the law requires. You can change or cancel your plan at any time; changes take effect from your next billing date and cancellation stops future charges but does not refund the current period. We may change our prices on [at least 30 days'] notice, which will apply from your next renewal. If a payment fails, we may suspend the Service until it is resolved.

6. AI-generated output — important

The Service uses artificial intelligence to read enquiries, classify them, draft replies and produce quote figures. AI systems are probabilistic and can be wrong. Output may be inaccurate, incomplete, misleading or unsuitable, and quote figures are estimates generated from your settings — they are not a guarantee, a valuation, or an offer binding on us.

You are responsible for reviewing Output before you rely on or send it. The Service is designed for a person to review and approve messages and quotes before they go out. You decide what is sent to your customers.

If you switch on automatic sending, you do so at your own risk and remain fully responsible for all messages sent from your account, including any errors in them. We are not responsible for the consequences of Output that is sent, acted on, or relied upon — including incorrect quotes, mis-sent messages, or business decisions based on Output.

We may change the underlying AI models we use. We will give reasonable notice of material changes where practicable, but model changes are not a failure of the Service or a breach of these terms.

7. Acceptable use

You agree not to:

  • use the Service unlawfully, or to send unlawful, defamatory, deceptive or harassing content;
  • upload third parties' personal data without a lawful basis to do so;
  • use Output to make automated decisions with legal or similarly significant effects on people without meaningful human review;
  • attempt to reverse-engineer, extract or copy the underlying models, or use the Service to build a competing product;
  • try to bypass safety controls, misuse the AI, or overload or disrupt the Service;
  • send content that infringes others' rights or breaches export or sanctions law.

You are responsible for ensuring your use of the Service, and the messages you send, comply with the laws that apply to your business.

8. Your data & data protection

As between us, you own your Customer Data. You grant us the right to process it to provide and support the Service. For the personal data of your own customers that you handle through moversapp, you are the controller and we are your processor; that processing is governed by our Data Processing Agreement ([link]), which forms part of these terms.

You confirm you have a lawful basis to put Customer Data into the Service and to have it processed as described, including having it sent to our AI sub-processor to generate Output. How we handle personal data is set out in our Privacy Policy.

9. Intellectual property

We own all rights in the Service, including its software, design and content. As between you and us, you own your Customer Data and the Output generated for you, and we assign to you such rights as we have in that Output. You grant us a licence to use Customer Data and Output on an aggregated and anonymised basis to operate, secure and improve the Service. We do not use your Customer Data to train third-party AI models. [Confirm this matches your provider configuration.]

10. Third-party services

The Service depends on third-party providers (including our AI, hosting, email and payment providers). Your use of the Service is subject to their availability and acceptable-use policies, and we are not liable for outages, changes or failures caused by them, though we will act reasonably to address them.

11. Availability

We aim to keep the Service available but do not currently guarantee any level of uptime. We may carry out maintenance, and may need to suspend the Service occasionally. We will give notice of planned downtime where we reasonably can.

12. Warranties & disclaimers

The Service and all Output are provided "as is" and "as available". To the fullest extent permitted by law, we exclude all implied warranties, including fitness for a particular purpose, accuracy of Output, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Output will be accurate or suitable for your purposes.

13. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation.

Subject to that, and to the fullest extent permitted by law:

  • we are not liable for indirect, consequential, special or punitive loss, or for loss of profit, revenue, business, goodwill, data, or anticipated savings;
  • we are not liable for any loss arising from Output, including inaccurate quotes, mis-sent or automatically sent messages, or decisions you or others make in reliance on Output;
  • our total liability to you for all claims in any 12-month period, whether in contract, tort (including negligence) or otherwise, is capped at the total fees you paid us in the 12 months before the claim arose.

Claims relating to Output fall within this cap and are not a separate or uncapped category. You accept that these limits are reasonable given the nature of the Service and the fees charged.

14. Indemnity

You will indemnify us against claims, losses and costs arising from your Customer Data, your use of the Service, the messages you send, or your breach of these terms — including any claim by one of your customers or by a regulator relating to content you sent or decisions you made using the Service.

15. Suspension & termination

You may cancel at any time. We may suspend or end your access if you breach these terms, fail to pay, or use the Service in a way that risks harm or legal exposure to us or others. On termination your right to use the Service ends; we will make your Customer Data available for export for [30 days], after which we may delete it, subject to the Data Processing Agreement and any legal retention duties.

16. Changes to these terms

We may update these terms. For material changes we will give reasonable notice before they take effect. Continuing to use the Service after that means you accept the updated terms.

17. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.

18. General

If any part of these terms is found unenforceable, the rest continues to apply. We may transfer our rights and obligations under these terms; you may not without our consent. A delay in enforcing these terms is not a waiver. These terms do not create any rights for third parties except as stated. Notices to you will be sent to your account email.
